• Fluid AI Pte Ltd, a company incorporated in Singapore; and

• Fluid AI Sdn Bhd, a company incorporated in Malaysia

 

(collectively referred to as “Fluid”, “we”, “our”, or “us”).

 

By accessing or using the Services, you agree to be bound by these Terms.

 

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

 

If you do not agree to these Terms, you may not use the Services.

1. Definitions

 

“Customer”, “you”, or “your” refers to the individual or entity using the Services.

 

“Services” refers to the software platform, AI-powered tools, APIs, applications, and websites operated by Fluid.

 

“Account” means a registered account used to access the Services.

 

“Customer Data” means any data, information, text, files, invoices, transaction records, or other materials uploaded, synchronized, or processed through the Services.

 

“Content” means any materials generated, transmitted, or displayed through the Services.

 

 

2. Eligibility

 

You must be at least 18 years old and capable of entering into a legally binding contract to use the Services.

 

If you use the Services on behalf of a company, you confirm that you have the authority to bind that entity.

 

 

3. Account Registration

 

To use certain features of the Services, you must create an Account.

 

You agree to:

• provide accurate and complete registration information

• maintain the confidentiality of your login credentials

• promptly notify us of any unauthorized access

 

You are responsible for all activities conducted through your Account.

 

 

4. Use of the Services

 

You agree to use the Services only for lawful purposes.

 

You must not:

• access the Services using unauthorized automated scripts or bots

• reverse engineer, copy, or modify the Services

• upload malicious code or attempt to disrupt system operations

• use the Services to violate applicable laws or regulations

• attempt to gain unauthorized access to other customer data

 

Fluid reserves the right to suspend or terminate accounts that violate these Terms.

 

 

5. Customer Data

 

5.1 Ownership

 

You retain ownership of all Customer Data processed through the Services.

 

5.2 License to Fluid

 

You grant Fluid a non-exclusive, worldwide, royalty-free license to host, store, process, and transmit Customer Data solely for the purpose of providing the Services.

 

5.3 Third-Party Data

 

The Services may allow you to upload or synchronize data relating to third parties, including your customers, clients, vendors, employees, or debtors.

 

You represent and warrant that:

• you have obtained all necessary rights and permissions to provide such data

• such processing complies with applicable data protection laws.

 

Fluid processes such data solely on your behalf.

 

5.4 Data Protection

 

Fluid processes Personal Data in accordance with applicable laws and our Privacy Policy and Data Processing Agreement (DPA) where applicable.

 

 

6. AI and Automated Features

 

The Services may include artificial intelligence and automation features designed to assist with:

• invoice reconciliation

• payment analysis

• collection workflows

• operational insights

• automated communications

 

Customer Data processed through the Services will not be used to train or develop general-purpose AI models.

 

AI-generated outputs are provided for informational and operational assistance only. You remain responsible for reviewing and verifying any automated recommendations or actions.

 

 

7. Communications and Collection Workflows

 

Where enabled by Customer, the Services may send automated communications on Customer’s behalf, including:

• email reminders

• messaging notifications (such as WhatsApp)

• payment reminders

• reconciliation requests

 

Customer is responsible for ensuring that such communications:

• comply with applicable laws

• are authorized by the relevant recipients

• comply with applicable anti-spam and communication regulations.

 

 

8. Subscription, Fees, and Payment

 

8.1 Subscription

 

Certain Services require payment of subscription fees.

 

8.2 Billing

 

Fees may be billed on a monthly or annual basis and are payable in advance.

 

Unless otherwise stated, fees are non-refundable.

 

8.3 Taxes

 

You are responsible for all applicable taxes, including GST or similar taxes.

 

 

9. Intellectual Property

 

All intellectual property rights in the Services, including software, models, design, trademarks, and documentation (excluding Customer Data), are owned by Fluid.

 

You may not:

• copy

• distribute

• modify

• create derivative works

 

without written permission.

 

 

10. Third-Party Services

 

The Services may integrate with third-party platforms including:

• accounting software

• payment providers

• messaging providers

• cloud infrastructure providers

 

Your use of such services is subject to their respective terms.

 

Fluid is not responsible for third-party services.

 

 

11. Confidentiality

 

Each party agrees to keep confidential any non-public information received from the other party and to use such information solely for the purpose of performing obligations under these Terms.

 

 

12. Service Availability

 

Fluid will use commercially reasonable efforts to maintain service availability.

 

However, we do not guarantee uninterrupted access.

 

Services may occasionally be unavailable due to:

• maintenance

• infrastructure issues

• network failures

• third-party outages.

 

 

13. Term and Termination

 

13.1 Termination by Customer

 

You may terminate your account at any time.

 

13.2 Termination by Fluid

 

We may suspend or terminate access if:

• you violate these Terms

• payment obligations are overdue

• required by law

• your use poses security or operational risk.

 

13.3 Effect of Termination

 

Upon termination:

• access to the Services will cease

• Customer may request export of Customer Data within 30 days

• Fluid may delete Customer Data after the applicable retention period.

 

 

14. Disclaimers

 

The Services are provided “as is” and “as available.”

 

Fluid disclaims all warranties, including:

• merchantability

• fitness for a particular purpose

• non-infringement

• accuracy of AI-generated outputs.

 

 

15. Limitation of Liability

 

To the maximum extent permitted by law:

 

Fluid shall not be liable for:

• indirect damages

• loss of profits

• loss of data

• business interruption

 

Total liability under these Terms shall not exceed the fees paid by Customer in the preceding 12 months.

 

 

16. Indemnification

 

You agree to indemnify and hold Fluid harmless from claims arising from:

• misuse of the Services

• violation of applicable laws

• unauthorized use of third-party data.

 

 

17. Changes to Terms

 

We may update these Terms from time to time.

 

Updated Terms will be posted on our website.

 

Continued use of the Services constitutes acceptance of the updated Terms.

 

 

18. Governing Law

 

If the Services are provided by Fluid AI Pte Ltd, these Terms are governed by the laws of Singapore.

 

If the Services are provided by Fluid AI Sdn Bhd, these Terms are governed by the laws of Malaysia.

 

Disputes shall be resolved through good faith negotiations before being submitted to the competent courts of the relevant jurisdiction.
